AI Compute Financing: Debt, Guarantees and New Rounds

The AI build-out is now paid for with debt and guarantees as much as with equity. In one week SpaceX said it closed $40 billion of GPU debt, Tenstorrent raised $1.5 billion, and Nvidia's role as guarantor for other firms' projects drew scrutiny as neocloud shares fell.

Key takeaways

SpaceX: $40 billion of GPU debt, and a warning

Musk said in a post on X that SpaceX closed $40 billion in debt financing for graphics processing units (GPUs), crediting its investment-grade status and its Starlink and launch revenue [1][2]. He called it mainly callable debt for GPUs arriving in the first and second quarters; CNBC places that in 2027 [1][2].

Bloomberg reported earlier, per CNBC, that the plan used a special purpose vehicle to keep the debt off SpaceX's balance sheet, with Goldman Sachs leading talks with investors including Apollo. That structure is reported, not confirmed by SpaceX [2].

SpaceX reported on 20 October that third-quarter revenue rose 161% to $14.58 billion, ahead of analysts' estimates, with AI revenue at $7.56 billion [2][16][17]. Musk also said debt markets have "almost entirely shut off" money for firms without large revenue outside AI data centres, and predicted more than 200 neoclouds will face failure or consolidation [2][3]. SpaceX sells compute itself, so it competes with them; Nebius, CoreWeave and Iren fell more than 4% in premarket trading on 26 October [3].

Nvidia: the chipmaker as guarantor

CNBC reported on 24 October that, as of Nvidia's July quarterly filing, the company had $36 billion in off-balance-sheet agreements backing neoclouds, a guarantee of up to $105 billion for a proposed 10-gigawatt OpenAI data centre in Ohio, and $20 billion of data-centre leases signed as tenant, to be assigned to third parties later [4]. For most of these deals Nvidia pays only if participants default [4]. These figures are as CNBC reports them from Nvidia's Form 10-Q for the quarter to 26 July [4][15].

The stress is visible in the neocloud market. CoreWeave carries about $51.6 billion of debt, its bonds due in 2031 and 2032 yielded above 15%, and its credit default swap spread passed 11% [4]. Over the past month CoreWeave and Nebius have fallen more than 30% and Iren about 40% [3]. Jensen Huang told CNBC "there's a scarcity of capital"; Nvidia declined to comment on the CNBC analysis [4].

Tenstorrent: equity still reaches chip challengers

On 19 October Tenstorrent announced a $1.5 billion Series E at a $6.2 billion post-money valuation, led by Trace Capital and Innovation X, with Fidelity, Morgan Stanley, ARK Invest, Sandisk and Tether Investments among the participants [5]. It plans to deploy its Galaxy servers at scale, serve open-weight models and license AI and CPU designs to customers building their own silicon [5]. Dealroom says the late-2024 round raised nearly $700 million at about $2.6 billion (one secondary source) [6].

The global picture

Deal Date Amount Who pays Label
SpaceX GPU debt 25 Oct $40bn Lenders, investment-grade credit Company statement via X; structure reported
Nvidia backstops July filing $36bn plus up to $105bn Nvidia, if partners default Reported by CNBC

South Korea, Japan and Taiwan. Samsung Electro-Mechanics said on 21 October it will jointly invest with Nvidia in dedicated lines for advanced chip substrates in Sejong and Busan, with supply from 2026 and volumes rising at a double-digit annual rate [7]. The release gives no amount [7]. Nvidia says its substrate agreements with Samsung Electro-Mechanics, Japan's Ibiden and Taiwan's Unimicron will together raise capacity 2.5 times over three years [8][18].

India. Tata Communications said on 26 October it will invest close to $450 million, about Rs 4,350 crore, in roughly 10,000 kilometres of long-haul fibre linking AI data-centre corridors, starting with Mumbai-Pune-Hyderabad-Chennai [9][10]. Business Standard reports that compute access, not funding, now limits Indian startups, with GPU deliveries taking three to four months (reported by Business Standard, not independently confirmed) [11]. A C-DAC request for empanelment seeks providers for up to 10,000 compute units (MediaNama, 13 October) [12].

China. Reuters reported on 22 October, citing four people (reported, not independently confirmed), that DeepSeek has raised about 100 billion yuan ($14.98 billion) from investors including CATL, Tencent, Meituan and Geely, valued at 500 billion yuan before the new money; one source said details "could still change", and DeepSeek could not be reached for comment [13].

US labs. Anthropic's confidential IPO prospectus, first reported by Reuters in September, commits it to spend at least $518 billion over a decade on AI infrastructure with six partners [14][19]. InvestmentNews reports the listing is likely to come after the US midterm elections [19].

Strengths and risks

Debt lets a buyer add GPUs without diluting owners, and a guarantee from an investment-grade company lowers borrowing costs. The risk is that every structure assumes demand covers the repayments. Firmus withdrew its Australian IPO this month, and Nscale and SB Energy, which filed in September, have given no update in weeks, CNBC reports [4].

What to watch next

Our take

Our analysis: financing is now a product feature. Nvidia sells chips plus guarantees, SpaceX uses its credit rating, and Chinese labs lean on strategic investors. Each system funds what it controls, but the debt-heavy US version is the one being stress-tested in public.

FAQ

Has SpaceX confirmed the $40 billion debt deal? Musk said so on X. Reuters notes the post does not say what "closed" means or whether pricing was agreed [1].

What is a backstop? A promise to cover a partner's payments if it defaults. CNBC reports Nvidia pays out only on default [4].

Is the DeepSeek round confirmed? No. Reuters cites people familiar with it and says details could still change [13].
